Terms and Conditions
These terms apply to all quotations and engagements between Auditworks and clients for the recruitment, selection and placement of audit professionals.

Article 1 Definitions
Auditworks: the private limited company Auditworks, established in Amstelveen (Amsteldijk Zuid 78 C6, 1184 VE), registered with the Chamber of Commerce under number 87480441, VAT number NL864305916B01.
Client: any natural or legal person entering into a service agreement with Auditworks.
Engagement: the service agreement under which Auditworks recruits, selects or places professionals for deployment with the client.
Professional: any person or entity from the Auditworks network who is selected and put forward to the client.
Article 2 Applicability
These terms apply to all quotations and engagements between Auditworks and clients for recruitment, selection and placement services. The client's own terms and conditions are expressly excluded. Any deviations require written agreement by both parties.
Article 3 The Engagement
A valid engagement exists once the client instructs Auditworks and Auditworks accepts. The client shall provide all necessary information upon request. Auditworks operates on a best-efforts basis, unless expressly agreed otherwise in writing. Auditworks may subcontract work at its own discretion. Any advice given is of an advisory nature; Auditworks accepts no liability in this regard. Agreed timelines are indicative, unless contractually designated as binding.
Article 4 Client Obligations
The client shall provide all necessary information and cooperate fully. Auditworks may suspend its activities in the absence of such cooperation and shall not be liable for any resulting delays or damages.
Article 5 Selection and Warranties
The client remains solely responsible for the choice of professional. Auditworks gives no warranties regarding work performance; the client must independently verify qualifications.
Article 6 Duration of Engagement
Fixed-term engagements end by operation of law upon expiry of the term. Open-ended engagements require a written notice period of one month. Either party may terminate with immediate effect in the event of bankruptcy or suspension of payments, with prompt notification.
Article 7 Intellectual Property
Materials provided by the client remain the property of the client. Pre-existing materials of Auditworks remain the property of Auditworks. Work created by staff during the engagement belongs to Auditworks, unless the client supplied the source material.
Article 8 Liability and Indemnification
Auditworks shall not be liable for the consequences of a choice of professional where Auditworks has reasonably relied on the information provided. The client indemnifies Auditworks against claims arising from misconduct by the professional. Liability is limited to the fees charged. Auditworks excludes liability for consequential loss, including loss of profit. Claims lapse one year after the event giving rise to the damage.
Article 9 Invoicing
Fees are set out in the engagement agreement. Invoices state VAT and an itemised breakdown of hours, kilometres and expenses. Payment terms are 14 days. Disputes must be reported immediately with supporting evidence; failure to object in time (within 14 days) implies acceptance. In the event of late payment, two reminders will be sent (at 7-day intervals), after which a surcharge of 10% will apply.
Article 10 Confidentiality
Both parties shall maintain strict confidentiality regarding information whose disclosure could reasonably cause harm, before, during and after the engagement.
Article 11 Confidentiality of Professional Data
The client shall treat professionals' data confidentially and may not share it with or present it to third parties.
Article 12 Non-Solicitation
The client may not engage professionals directly or through intermediaries for one year after the end of the engagement or following rejection, without the written consent of Auditworks. Violation results in an immediately payable penalty of € 15,000, without prejudice to Auditworks' right to claim further damages.
Article 13 Miscellaneous Provisions
Void or voidable provisions shall not affect the validity of the remaining terms. In the event of conflict, contractual agreements take precedence over these general terms and conditions. The privacy policy applies to all services provided.
Article 14 Governing Law and Disputes
These terms and all engagements are governed by Dutch law. Disputes shall be submitted to the competent Dutch court.
